SOLEFIRE ACCOUNTABILITY SQUAD MEMBERSHIP AGREEMENT
This ‘Agreement’ sets out the terms and conditions (‘Terms’) that govern the relationship between SoleFire (‘SF’, ‘We’, ‘Us’, ABN 23114047609), and the client (‘You’, ‘Member’), during any agreed period of engagement with SF’s business support services (‘The Services’, 'Membership Services').
ACCOUNTABILITY SQUAD MEMBERSHIP:
By engaging the services of SoleFire through the submission of a Squad Membership application, you agree to the terms and conditions outlined below.
‘SoleFire Accountability Squad Membership’ (‘Squad Membership’) pertains to a 6-month period, commencing when your application has been accepted by SF, and you sign this Agreement.
Squad Membership entitles you to certain benefits (‘Membership Services’), which include you being matched with a Squad, monthly brainstorm sessions with your Squad, access to a group chat with your Squad, and some bonus goal setting and team building online sessions.
Your purchase of Squad Membership indicates your commitment to the obligations and participation expectations outlined below, for the entire Membership period.
SQUAD MEMBERSHIP PAYMENT POLICY:
Squad Membership costs $68.00 AUD per month for 6 months (July – Dec 2022).
You will be sent an invoice to your provided email address on the 1st of each month.
Any invoice payment is due within 7 days of issue.
Any late, overdue, or unpaid invoice amounts may affect SF’s ability to continue delivering the Membership Services to you, and may attract additional account keeping fees ($15 per 7 days delay).
Refunds cannot be provided due to changes of mind or circumstances. If you wish to cancel at any stage throughout the Squad Membership period, the remaining monthly payments will continue until the term of the Squad Membership ends.
Please be aware that your Squad Membership fee is due and payable regardless of whether you attend all of your Squad sessions or use any of the additional Squad Membership entitlements.
SF reserves the right to cease delivery of any or all Membership Services to clients breaching these Terms, without refund.
SQUAD SESSIONS:
Please arrive on-time and prepared for your sessions. You will get much more out of the sessions when you spend 10-15 minutes prior preparing.
It is expected that Members can join Squad sessions from a location that is reasonably quiet and free from interruptions (this may include, closing other browser tabs and applications and silencing phones and email notifications) and provide their full focus and participation to ensure the maximum benefit and respect of their fellow Squad Members.
Once a session date is confirmed by SF, it is considered to be a set appointment that each Member is expected to keep, in order to fulfill their commitment to the Membership and their fellow Squad Members.
COMMUNICATION:
SF is based in Brisbane, Australia (Timezone: AEST) and will be available to respond to emails and group chats within 48 hours (Monday to Friday 9:30am – 4:30pm).
For any admin related matters, email should be chosen as the preferred method of communication (social media messaging is not considered official communication with SF).
PRIVACY POLICY:
By applying to be a Squad Member, you consent to the collection, use and disclosure of your information in accordance with our Privacy Policy (https://solefirewellness.com/terms), and consent to SF using your information to send you notifications and other information related to your Squad Membership and SF.
CONFIDENTIALITY AND INTELLECTUAL PROPERTY:
It is important that Squad Members feel comfortable and supported to share information about all aspects of their business in order to make the most of the Membership Services.
You agree not to disclose (keep strictly confidential), any information relating to any Member’s:
- Intellectual property, including copyright, trademarks, patents, designs, trade secrets, know-how, artwork or other intellectual property owned, used or licenced by the Member.
- Ideas, information, concepts, trade secrets, know-how, knowledge, systems or processes.
- Inventions, technology, business methods or formulas.
- Pricing lists or methods.
- Customer or supplier information.
- Financial performance or plans.
- Sales or marketing plans.
- Participation and conduct in Squad sessions or online forums.
- Information which by its nature or by the circumstances of its disclosure, is or could reasonably be expected to be regarded as confidential to the Member or any third party with whose consent or approval that Member uses that information.
Likewise, you acknowledge and agree that all SF materials, including but not limited to any content, processes, procedures, strategies, contracts or any other information or documentation provided during the course of The Services is the exclusive Intellectual Property and confidential information of SF.
You further agree that you will not disclose any of the above confidential information except with fellow Squad Members for the express purpose of participating in The Services (or as otherwise permitted by SF or the disclosing Member in writing, as the respective owner).
You agree to notify SF if you become aware that any of the above confidential information has been disclosed to a third party, or any proprietary information/assets has been used without authorisation.
DISCLAIMER:
Results and outcomes stemming from engagement with The Services are subject to numerous factors that cannot be controlled by SF. SF therefore cannot guarantee any specific results from The Services.
Likewise, all Members acknowledge that they each remain exclusively responsible for their own business decisions and actions, and indemnify SF and all other Squad Members from the consequences of implementing and acting on any feedback, suggestions, or referrals offered during the course of The Services.
